1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MEEXZ LLC("Meexz," "we," "us," or "our"). By creating an account, accessing, or using our website and wholesale order pooling services (the "Services"), you agree to be bound by these Terms and our Privacy Policy.

WARNING: These Terms contain a mandatory arbitration provision and class action waiver (Section 16) that waives your right to a court hearing or jury trial.

2. Eligibility & Operations

The Services are strictly B2B (Business-to-Business). By using Meexz, you represent and warrant that:

  • You are acting as a sole proprietor, LLC, corporation, or other recognized business entity.
  • You possess a valid Reseller Permit, Tax ID (EIN), or Business License required by your jurisdiction.
  • You are buying goods for resale purposes, not for personal or household consumption.
  • You have the authority to bind your entity to these Terms.
  • Emergency Compliance: During any declared state of emergency, you agree to comply with all applicable price gouging laws and will not use the platform to engage in unconscionable pricing practices.

3. Order Pooling & Commitment

Meexz facilitates "Order Pools" to reach supplier Minimum Order Quantities (MOQs).

  • Binding Commitments: Once you "Commit" or "Join" a pool, this is a binding contract to purchase the specified quantity if the pool reaches its goal.
  • No Cancellations: You may not cancel or withdraw your funded commitment once the pool has been marked as "Locked" or "Funded."
  • Pool Failure: If a pool fails to reach the MOQ within the specified timeframe, your funds will be returned to your Meexz wallet or original payment method without penalty.
  • Pool Expiration: Each pool has a specified expiration date (typically 30-90 days). If the MOQ is not reached by this date, the pool automatically closes and all payment authorizations expire without charge. You may not withdraw from a pool once it is marked as "Locked" (24-48 hours before close).

4. Payment Terms

Payment Authorization: When you join a pool, you authorize your payment method for the full amount (including estimated shipping and taxes). No charge is processed until 24-48 hours before the pool closes and the order is placed with the distributor. This authorization hold ensures you have sufficient funds when the pool reaches its goal.

Charge Timing: Your payment method will be charged only when the pool successfully closes and we are ready to place the order. If the pool fails to reach the MOQ, the authorization expires automatically and no charge is processed.

Price Adjustments: Final shipping costs are calculated upon fulfillment. Any overage charged will be credited to your account; any shortage must be paid before goods are released to you.

5. Logistics & Risk of Loss

Unless otherwise specified, all sales are FOB Origin (or Ex Works). Title and risk of loss pass to you once the goods are transferred to the carrier. Meexz is not responsible for merchandise lost, damaged, or delayed by shipping carriers, though we will assist in filing claims where possible.

6. Returns & Refunds (All Sales Final)

ALL WHOLESALE SALES ARE FINAL.

Due to the nature of wholesale and pooled orders, Meexz does not accept returns or exchange requests for buyer's remorse, market price fluctuations, or minor packaging imperfections. Returns are only authorized strictly for: (a) Receipt of wrong items, or (b) Counterfeit goods (proven via third-party authentication). Discrepancies must be reported within 48 hours of delivery.

⚠️ MANUFACTURER WARRANTIES

No Warranty Pass-Through Guaranteed: Meexz acts as a facilitator and order aggregator. We purchase products wholesale, pool orders, and break bulk shipments into individual allocations. Due to this model, we cannot guarantee that manufacturer warranties will apply to products purchased through pooled orders.

Warranty Validity Depends On:

  • Whether the manufacturer considers Meexz or our distributors as "authorized channels"
  • The manufacturer's specific warranty policy and transferability terms
  • Whether the manufacturer honors warranties for products sold in split/pooled orders
  • Proof of purchase requirements (your receipt will show MEEXZ LLC, not the brand directly)

Your Responsibility: You are solely responsible for verifying warranty status with the manufacturer BEFORE purchasing. Contact the brand directly to confirm their warranty policy for products purchased through wholesale channels.

No Meexz Warranty Obligation: Meexz does not provide warranties on products and is not responsible if a manufacturer declines to honor a warranty claim. We verify product authenticity through third-party authentication when applicable, but authenticity verification does not guarantee warranty coverage.

Gray Market Goods: Some products may be sourced from international distributors or parallel import channels. While authentic, these goods may have different packaging, language manuals, or warranty terms than US-market versions. Meexz verifies authenticity but does not guarantee country-of-origin warranties.

7. Prohibited Conduct

You agree not to: (a) Circumvent Meexz to transact directly with distributors introduced via our platform ("Non-Circumvention"); (b) Use bots, scrapers, or scripts to access our data; (c) Resell items on platforms where such resale is prohibited by the brand (you are responsible for your own channel compliance).

Resale Authorization & MAP Compliance: You represent and warrant that you have the legal right to resell any products purchased through Meexz and will comply with all brand resale restrictions, Minimum Advertised Price (MAP) policies, and channel authorization requirements. Meexz is not responsible if a brand prohibits or restricts resale of products you purchased, or if you violate MAP policies in your own sales channels.

8. Intellectual Property Rights

As between you and Meexz, we exclusively own all rights, title, and interest in and to the Services, including all software, algorithms, pricing data, pool analytics, trademarks, and proprietary information.

  • No License Granted: You receive no ownership rights. Use of the Services grants only a limited, non-transferable, revocable license to access the platform for B2B purposes.
  • Data Scraping Prohibited: You may not use automated means (bots, crawlers, scripts) to extract pricing, pool data, or supplier information.
  • Trademarks: "Meexz" and our logo are trademarks of MEEXZ LLC. Unauthorized use is strictly prohibited.

9. Disclaimer of Warranties

THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. MEEXZ LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT GOODS WILL INCREASE IN VALUE ON SECONDARY MARKETS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEEXZ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Meexz LLC, its officers, directors, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms, your violation of any law (including tax or resale laws), or your business operations.

Product Liability: You further agree to indemnify Meexz for any claims arising from your use, resale, or distribution of products purchased through the platform, including but not limited to personal injury, property damage, product defect claims, or failure to warn end consumers of known risks. This indemnification survives termination of your account.

12. Account Termination

We reserve the right to suspend or terminate your account immediately, with or without notice, for:

  • Breach of these Terms (including non-circumvention violations)
  • Fraudulent activity, chargebacks, or payment failures (3 or more instances)
  • Providing false verification documents (fake reseller permits, tax IDs)
  • Conduct harmful to other users, distributors, or Meexz's reputation
  • Legal obligations or court orders

Upon termination, all outstanding orders must be fulfilled, and you forfeit access to any credits or pool positions.

13. Tax Responsibility

Your Obligation: You are solely responsible for all applicable taxes, including sales tax, use tax, VAT, and any resale tax obligations in your jurisdiction. Meexz may collect and remit taxes where required by law, but you remain ultimately liable for proper tax reporting and payment.

14. Governing Law

These Terms shall be governed by and construed in accordance with the internal laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule.

15. Force Majeure

Meexz shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to: acts of God, natural disasters, wars, terrorism, pandemics, government restrictions, supplier insolvency, shipping carrier failures, or strikes. In such events, performance obligations are suspended for the duration of the force majeure event, and funds held in pools may be returned if orders cannot be fulfilled.

16. Mandatory Arbitration & Class Action Waiver

Please Read Carefully. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Maryland unless both parties agree otherwise.

No Class Actions: YOU AND MEEXZ LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to legal@meexz.com within 30 days of account creation, stating "I opt out of the arbitration agreement."

Small Claims Exception: Either party may bring an individual action in small claims court in Maryland or your home jurisdiction if the claim qualifies.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
